1. Acceptance of Terms

These terms and conditions (the “Terms”) govern your use of this website (the “Website”), which is operated by The Wine Spies, LLC (“Wine Spies”). You may also wish to review the Privacy Policy, which is incorporated into these Terms by reference.

By accessing, browsing, or using the Website in any manner, whether manually or through any automated means, and whether or not you create an account, you agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to access or use the Website and you must discontinue all access immediately.

Your access to and use of the Website is expressly conditioned on your compliance with these Terms. Any access or use that exceeds the scope of the permission granted in these Terms is unauthorized and constitutes both a breach of these Terms and access without authorization within the meaning of the Computer Fraud and Abuse Act, 18 U.S.C. § 1030, and California Penal Code § 502.

If you are accessing the Website on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

2. Shipping Policy

As your agent, we can assist in selecting a common carrier for the shipment of wine that you have purchased and own. The majority of states maintain laws and regulations that control or restrict the importation of alcohol. In all cases, the purchaser is responsible for complying with the laws and regulations, including in particular those relating to the import of alcohol, in effect in the state to which the purchaser is shipping alcohol.

Seller uses its direct to consumer shipping permits for sales to the following states: New Hampshire. For all other states, title to, and ownership of, all wine passes from seller to buyer in the State of California, and buyer takes all responsibility for shipping the wine from California to his or her home state. By placing an order, buyer authorizes seller to act on buyer’s behalf in arranging for transportation of the wine at buyer’s direction. Except for wine sold and shipped using seller’s direct shipping permits, sales tax will be applied based on seller’s location. Seller makes no representation as to the legal rights of anyone to ship or import any wines, alcoholic beverages or other goods into any state. The buyer is solely responsible for the shipment of wine and other goods purchased and for determining the legality and the tax and duty consequences of having the wine and other goods shipped to the applicable destination.

3. General Use Restrictions

All information, documents, products, software, services, text, photographs, images, graphics, tasting notes, offer descriptions, ratings, reviews, video, audio, and data compilations provided on this Website (collectively, the “Materials”) were provided by or to Wine Spies by their respective manufacturers, authors, developers and vendors (the “Third Party Providers”) and are the copyrighted work of Wine Spies and/or the Third Party Providers. The selection, coordination, arrangement, and compilation of the Materials, including the composition, sequencing, and presentation of daily featured offers and sale events, is the exclusive property of Wine Spies.

Except as expressly stated in these Terms, none of the Materials may be copied, reproduced, distributed, republished, downloaded, displayed, posted, transmitted, stored, cached, archived, indexed, aggregated, or otherwise exploited in any form or by any means, including but not limited to electronic, mechanical, photocopying, recording, automated, algorithmic, or otherwise, without the prior express written permission of Wine Spies or the applicable Third Party Provider.

You may not, without Wine Spies’ prior express written permission, “mirror,” replicate, syndicate, or reproduce any Material contained on this Website on any other server, service, database, application, repository, or medium, whether public or private, and whether or not access to it is charged for.

Nothing on this Website shall be construed as conferring any license under any of Wine Spies’ or any Third Party Provider’s intellectual property rights, whether by estoppel, implication, or otherwise. You acknowledge sole responsibility for obtaining any such licenses.

Limited license. Permission is granted to display, copy, and download the Materials solely on the following conditions, each of which is a condition of the license and not merely a covenant:

1. The copyright notice identified below and this permission notice appear in the Materials;
2. The use is by a natural person, is solely for that person’s own personal, non-commercial, informational use, and the Materials are not copied to, posted on, or stored on any networked computer, server, database, or shared repository, and are not broadcast or published in any medium;

4. No modification, reformatting, translation, extraction, or derivative use of any Material is made; and
5. The use complies in all respects with Section 4 (Automated Access, Data Collection and Use) and Section 5 (Time-Sensitive Offer Information).

This permission terminates automatically and without notice if you breach any of these conditions. Upon termination, you will immediately cease all access to the Website and permanently destroy, delete, and purge from all systems and media under your custody or control any and all Materials previously downloaded, copied, cached, stored, or derived, including any database, index, archive, backup, or model derived from them, and you will certify that destruction to Wine Spies in writing upon request.

Any unauthorized use of any Materials contained on this Website may violate copyright laws, trademark laws, the laws of privacy and publicity, computer access and fraud statutes, and communications regulations and statutes.

4. Automated Access, Data Collection and Use

Prohibited access methods. You may not access, or attempt to access, any part of the Website by any automated means. Without limiting the foregoing, you may not use, deploy, operate, or benefit from any robot, bot, spider, crawler, scraper, harvester, script, headless browser, browser automation framework, autonomous agent, AI agent, data-extraction tool, offline reader, or any other automated or semi-automated system or process to access, read, retrieve, monitor, poll, index, copy, or interact with the Website, its APIs, its endpoints, or any Material.

Prohibited uses of Website data. Regardless of the method of access, you may not:

1. Extract, scrape, harvest, mine, collect, compile, aggregate, or assemble any Material or any data derived from the Website into any database, spreadsheet, index, feed, dataset, archive, or other repository;
2. Store, cache, retain, archive, or preserve any Material beyond the transient caching performed automatically by a conventional web browser in the ordinary course of a single personal viewing session;
3. Monitor, track, log, or record the Website’s offers, prices, discounts, list prices, offer dates, offer duration, inventory levels, availability, quantity limits, sell-through, product identifiers, ratings, tasting notes, or images, whether on a recurring, scheduled, or continuous basis;
4. Republish, redistribute, resell, license, sublicense, syndicate, display, or otherwise make available to any third party any Material or any data derived from the Website, in original, reformatted, summarized, or derivative form;
5. Use any Material or any data derived from the Website to train, fine-tune, ground, embed, retrieve into, evaluate, or otherwise develop or improve any machine learning model, artificial intelligence system, large language model, embedding index, or retrieval corpus;
6. Use any Material or any data derived from the Website for any competitive, commercial, benchmarking, price-comparison, price-tracking, market-intelligence, or resale purpose; or
7. Create, maintain, or contribute to any historical record, archive, price history, or deal-history service concerning Wine Spies offers.

No circumvention. You may not circumvent, disable, evade, interfere with, or attempt to circumvent, disable, or evade any technological measure Wine Spies employs to control or limit access to the Website or the Materials, including but not limited to rate limits, request throttling, bot detection or bot management systems, web application firewalls, CAPTCHA or challenge pages, device or browser fingerprinting, IP-based or ASN-based blocking, authentication or login requirements, session controls, or the directives contained in the Website’s robots.txt file.

You may not use proxies, VPNs, residential proxy networks, rotating IP addresses, spoofed or falsified user agents, spoofed referrers, or any other means to disguise the origin, identity, volume, or automated nature of your access, or to evade a block or restriction previously imposed by Wine Spies.

robots.txt. The directives contained in the Website’s robots.txt file are incorporated into these Terms by reference and constitute express notice of the scope of authorized access. Disregarding those directives is a breach of these Terms and, following any notice of revocation under Section 6, constitutes access without authorization.

Accounts may not be used for collection. You may not use any Wine Spies account, credential, session token, or API access, whether your own or another person’s, to obtain, enable, or facilitate any access or use prohibited by this section. You may not create or maintain an account using false, misleading, or automated registration information, and you may not create or maintain multiple accounts for the purpose of increasing access volume or evading limits.

Limited exception for search engines. Wine Spies grants a revocable, non-exclusive, non-transferable license to operators of bona fide general-purpose public search engines to crawl the Website solely to the extent expressly permitted by the Website’s robots.txt file, and solely for the purpose of creating publicly available searchable indices that link to the Website. This license does not extend to caching, archiving, or displaying pricing, discount, offer-date, or availability data, does not extend to any use described above in this section, and may be revoked by Wine Spies at any time, for any reason, by notice or by amendment of robots.txt.

Requests for permission. Any request for permission to access the Website by automated means, or to use Website data for any purpose otherwise prohibited by this section, must be submitted in writing in advance to Wine Spies via the Support page. Absent a signed written agreement from an authorized officer of Wine Spies, no such permission exists, and no course of dealing, failure to enforce, or period of undetected access shall be construed as granting, implying, or waiving any such permission.

5. Time-Sensitive Offer Information

Wine Spies operates a time-limited offer model. Featured offers, sale events, pricing, discounts, list price comparisons, quantity limits, and availability information (collectively, “Offer Information”) are made available for the limited duration of the applicable offer window and for no other period.

You acknowledge and agree that:

1. The license to view Offer Information is time-limited. Any permission to access or view Offer Information terminates automatically upon the conclusion of the applicable offer window, without notice. You have no license, right, or permission to retain, reproduce, republish, or make available any Offer Information after that time.
2. Offer Information may not be persisted. You may not create, maintain, publish, distribute, or contribute to any archive, log, price history, deal history, dataset, feed, alert service, or other record of Offer Information, whether public or private, and whether or not any charge is made for access to it.
3. Offer Information is provided subject to supplier restrictions. Wine Spies obtains and publishes Offer Information under agreements with wineries, producers, importers, and other suppliers that restrict the duration, scope, and manner of price publication. Persisting, republishing, or aggregating Offer Information beyond its offer window causes Wine Spies to be in breach of those agreements and causes direct, foreseeable, and substantial harm to Wine Spies and to those suppliers. You acknowledge that harm is foreseeable and that those suppliers are intended third-party beneficiaries of this section.
4. Irreparable harm is acknowledged. You agree that any breach of Section 4 or this section would cause Wine Spies irreparable harm for which monetary damages would be an inadequate remedy, and that Wine Spies is entitled to seek immediate injunctive relief and specific performance, including an order compelling the deletion and destruction of any Material or Offer Information obtained in breach, in addition to any other remedy available at law or in equity, without the necessity of posting a bond.

6. Revocation and Termination of Access

Wine Spies may revoke, suspend, condition, or terminate your permission to access the Website, in whole or in part, at any time, for any reason or no reason, in its sole discretion, with or without notice.

Revocation may be communicated by any reasonable means, including written or electronic notice to any address or account associated with you, a cease and desist letter delivered to you or your counsel, an in-page or HTTP-level notice, the imposition of an IP address, IP range, ASN, or device block, the termination or suspension of an account, or an amendment to the Website’s robots.txt file.

Following revocation, any subsequent access to the Website by you, or by any person or system acting on your behalf or at your direction, is without authorization and in excess of any authorization previously granted, and constitutes:

1. A breach of these Terms;
2. Access without authorization within the meaning of the Computer Fraud and Abuse Act, 18 U.S.C. § 1030;
3. A violation of California Penal Code § 502; and
4. A trespass to chattels under California law.

Attempting to evade a revocation, block, or restriction by any means, including those described in Section 4, is itself an independent breach of these Terms and independent evidence of knowledge that access was unauthorized.

Survival. Sections 1, 3, 4, 5, and 6, together with Sections 17, 18, 19, 20, and 24, survive any termination or revocation of access.

7. Your Account

If you use this Website, you are responsible for maintaining the confidentiality of your account and password, for restricting access to your devices, and you agree to accept responsibility for all activities that occur under your account or password, including any automated activity.

You must be at least 21 years of age to create an account or purchase products from Wine Spies. Wine Spies does not sell products to persons under 21 years of age. This Website and its contents are not directed to persons under 21. By creating an account or placing an order, you represent and warrant that you are at least 21 years of age and that any person accepting delivery will be at least 21 years of age and will present valid government-issued photo identification upon delivery.

You may not share, sell, rent, lend, or otherwise transfer your account or credentials to any third party, and you may not permit any third party or automated system to access the Website through your account.

Wine Spies and its affiliates reserve the right to refuse service, terminate or suspend accounts, remove or edit content, cancel orders, and block access, in their sole discretion and without notice.

We will communicate with you by email or by posting notices on this Website. If you post content or submit material, and unless we indicate otherwise, you grant Wine Spies and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant Wine Spies and its affiliates and sublicensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify Wine Spies and its affiliates for all claims resulting from content you supply. Wine Spies shall have no obligation of any kind with respect to such Materials and shall be free to use or disseminate such Materials on an unrestricted basis for any purpose. You acknowledge that you are responsible for the Materials that you submit, and that you, not Wine Spies, have full responsibility for the Materials, including their legality, reliability, appropriateness, originality and copyright.

Materials provided by Third Party Providers have not been independently authenticated in whole or in part by Wine Spies. Wine Spies does not provide, sell, license, or lease any of the Materials other than those specifically identified as being provided by Wine Spies.

Wine Spies is committed to respecting others’ intellectual property rights, and we ask our users to do the same. Wine Spies may, in its sole discretion, terminate the accounts or access rights of users who infringe or otherwise violate others’ intellectual property rights. If you believe that your work has been copied in a way that constitutes copyright infringement on this Website, please contact our designated copyright agent through the Support page.

An end user will be unable to install any Software that is accompanied by or includes a License Agreement unless the end user first agrees to the terms of the License Agreement. Except as set forth in the applicable License Agreement, any further copying, reproduction or redistribution of the Software is expressly prohibited.

Installation assistance, product support and maintenance, if any, of the Software is available from Wine Spies and/or the Third Party Providers, as the case may be.

SOFTWARE IS WARRANTED, IF AT ALL, IN ACCORDANCE WITH THE TERMS OF THE LICENSE AGREEMENT. 14. Risk of Loss

All items purchased from Wine Spies are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

You consent to the exclusive jurisdiction and venue of the state and federal courts located in Sonoma County, California for any dispute arising out of or relating to these Terms or the Website, and you waive any objection to that jurisdiction or venue on grounds of inconvenient forum or otherwise.

In any action to enforce these Terms, the prevailing party shall be entitled to recover its reasonable attorneys’ fees, expert fees, and costs, including on appeal.

If you use this Website from other locations, you are responsible for compliance with applicable local laws, including but not limited to the export and import regulations of other countries. You acknowledge and agree that the Materials are subject to the U.S. Export Administration Regulations and to the economic sanctions programs administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC).
